These Terms of Service ("Terms") govern your access to and use of the BraneIQ website, platform, and related services (collectively, the "Services") operated by Cozmot Inc ("BraneIQ," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.
Acceptance of terms
By visiting braneiq.com, creating an account, or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
Description of service
BraneIQ provides social listening, brand monitoring, sentiment analysis, alerts, and related analytics tools for communications, marketing, and agency teams. Features, integrations, and availability may change over time. We may update, suspend, or discontinue parts of the Services with reasonable notice where practicable.
Accounts and security
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly at [email protected] of any unauthorized access. We may suspend or terminate accounts that violate these Terms or pose a security risk.
Acceptable use
You agree not to misuse the Services. Prohibited conduct includes: violating applicable laws or third-party rights; scraping or accessing the Services through unauthorized automated means; attempting to probe, scan, or test vulnerabilities; interfering with platform operation; uploading malware; harvesting personal data without a lawful basis; or using the Services to monitor individuals in violation of platform terms or privacy laws. You are responsible for ensuring your use of social data complies with applicable platform policies and regulations.
Subscriptions and fees
Paid plans, billing cycles, and pricing are set out in your order form or subscription agreement. Fees are non-refundable except where required by law or expressly stated in writing. Failure to pay may result in suspension or termination of access. Trial or beta features may be offered as-is with no service-level commitments.
Intellectual property
BraneIQ and its licensors retain all rights in the Services, software, branding, documentation, and related materials. You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription term for internal business purposes. You may not copy, modify, reverse engineer, resell, or create derivative works except as permitted by law or written agreement.
Customer data
You retain ownership of data you submit to the Services. You grant BraneIQ a license to host, process, and display that data solely to provide and improve the Services. Public social content ingested through connectors is processed on your instructions. Our handling of personal information is described in our Privacy Policy. You are responsible for obtaining any consents or legal bases required for your monitoring activities.
Disclaimers
The Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation, complete accuracy of sentiment or analytics outputs, or that the Services will meet your specific requirements. Social and third-party data sources are outside our control and may change without notice.
Limitation of liability
To the maximum extent permitted by law, BraneIQ and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities. Our total liability arising from or related to the Services will not exceed the fees paid by you to BraneIQ in the twelve (12) months preceding the claim, or one hundred U.S. dollars if no fees were paid.
Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal requirements, or extended inactivity. Upon termination, your right to use the Services ends. Provisions that by nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.
Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise. If any provision is held unenforceable, the remaining provisions remain in effect.
